These Terms and Conditions ("Terms") govern all services provided by Launchpad Digital Solutions Ltd ("Launchpad", "we", "us") to clients ("you", "the Client"). By engaging our services or signing a service agreement, you agree to these Terms.

We provide three categories of service:
All work begins with a written service agreement or order confirmation specifying the scope of work, price and payment terms. No work commences until the agreement is accepted (electronically or in writing) and the required deposit is received.
Scope is fixed at the point of agreement. Anything requested outside the agreed scope is treated as an add-on and will be separately quoted and approved before work begins.
Launchpad Digital (website retainer):
Launchpad Custom (bespoke builds):
All prices are quoted in GBP and are exclusive of VAT (Launchpad is not currently VAT registered). Invoices are due within 7 days unless otherwise agreed in writing.
Overdue payments accrue interest at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend access to hosted services and delivered products for accounts more than 14 days overdue, and to pursue outstanding balances through legal means if necessary.
Website retainer: Either party may cancel with 30 days' written notice. Retainer fees already collected are non-refundable. On cancellation, your website will remain live until the notice period ends, after which hosting will cease.
Custom builds: If you cancel after work has commenced, you are liable for the proportion of work completed at the time of cancellation, calculated at £45/hour. Deposits are non-refundable once work has started.
Pre-commencement: If you cancel before any work has started and before the deposit has been applied to any costs, we will refund the deposit in full within 14 days.
Upon receipt of full payment, intellectual property rights in the delivered work transfer to the Client. Until full payment is received, all work remains the intellectual property of Launchpad Digital Solutions Ltd.
We retain the right to display completed work in our portfolio and case studies unless you specifically request otherwise in writing.
Any third-party assets used in your project (fonts, stock images, icons, frameworks) remain subject to their original licences. We will advise you if any licence requires your direct attention.
Websites and custom tools are hosted on Cloudflare Pages. We target high availability but cannot guarantee 100% uptime, as this depends on third-party infrastructure. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by Cloudflare or other third-party services.
You agree to:
Our total liability to you for any claim arising from our services is limited to the total fees paid by you to us in the 12 months preceding the claim.
We are not liable for: indirect or consequential losses; loss of profit, revenue or business; losses arising from third-party services (hosting providers, payment processors); or losses arising from content or materials you supplied.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot be excluded by law.
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This obligation survives termination of the agreement.
We process personal data in accordance with our Privacy Policy and applicable UK data protection law. Where we process personal data on your behalf as part of a custom build, a Data Processing Agreement can be provided on request.
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Active clients will be notified of material changes. Continued use of our services after notification constitutes acceptance of the updated Terms. The current version is always available at launchpadme.co.uk/terms.
